Official Rules: “2006 France Sip ’n Spin” Sweepstakes
No purchase necessary. No payment of any kind is necessary to enter or win this sweepstakes. A purchase will not improve your chances of winning. You are not a winner yet. Sweepstakes open to legal U.S. residents (excluding those people living in and/or residing in California, Utah, Florida, Tennessee, Puerto Rico, and all U.S. territories and possessions) who are 21 years of age or older as of date of entry.

Odds of winning depend on the total number of eligible entries received. The sponsor of this sweepstakes is Palm Bay Imports, Inc., 313 Underhill Boulevard, Syosset, NY, 11791 (“Palm Bay”). After May 1, 2006, Palm Bay’s new address will be 48 Harbor Park Drive, Port Washington, NY 11050-4653.

To enter, log on to http://www.sipspin.com (the "Web Site") and complete all requested information in the fields on the entry form and submit the entry/registration form as instructed. INTERNET ACCESS IS REQUIRED TO ENTER. Participants must follow all instructions to enter and win.

Sweepstakes begins 3/27/06 and entries must be received by 11:59 PM ET on 9/1/06 to be eligible to enter and win. Only one entry per email address and only entries submitted electronically to the Web Site in accordance with these rules will be eligible for consideration. You may enter under one name and one email address only. Enter using only an email address subscribed to and registered in your name as the authorized account holder. Entries will be deemed to have been submitted by the authorized account holder of the e-mail address submitted at the time of the entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider or organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Entries that are mechanically reproduced, contain inaccurate information, do not comply with these rules or that are lost, late, incomplete, illegible, unintelligible, damaged or otherwise not received by Palm Bay, in whole or in part, due to computer, human or technical error of any kind are not eligible.

From all eligible entries received, Palm Bay will randomly select one (1) potential winner on or about 9/15/2006. Potential winner will be notified by postal mail on or about 9/22/2006. Potential winner will be obligated to sign and return an Affidavit of Eligibility and Release of Liability within 14 days of postal mail notification in order to claim winner status. In the event of noncompliance within this time period, if the potential winner cannot be reached at the address on his or her entry form, or if a prize or prize notification is returned as unclaimed or undeliverable for whatever reason, that prize will be forfeited and an alternate winner may be selected from among the other eligible entries submitted. Winner selection is under the supervision of Palm Bay, whose decisions are binding and final in all respects. Entrants agree to be bound by these Official Rules and the decisions of Palm Bay.

Palm Bay, licensed wholesalers, licensed retailers, Backroads, and Rodale Inc., their respective affiliates, subsidiaries advertising, production and promotion agencies, and any individuals (including employees, consultants, independent contractors, and interns) who have, within one year prior to the start date of the Sweepstakes, performed services for Palm Bay, Circus, MandraRossa, Redcliffe, Remy Pannier, Backroads, Rodale Inc., or their respective parent, subsidiary, affiliated and successor companies or any organizations responsible for fulfilling, administering, advertising or promoting the Sweepstakes or supplying any prize, and immediate family and household members of such individuals, are not eligible to enter or win the prize. “Immediate family members” shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses, regardless of where they live. “Household members” shall mean people who share the same residence at least three months a year, whether related or not are not eligible. Sweepstakes subject to all federal, state and local laws and is void wherever restricted or prohibited by law.

Any prize or prize notification returned to Palm Bay as undeliverable may result in the awarding of that prize to an alternate winner. By acceptance of a prize, winners expressly agree and consent to the use of their names, photographs or other likenesses, testimonials and other biographical information (in whole or in part) in any and all media worldwide, for any and all purposes, including, but not limited to, advertising, trade and/or promotion on behalf of Palm Bay without further compensation, unless prohibited by law. By entering the sweepstakes, entrants will be sharing their personal information with Palm Bay. Personal information collected by Palm Bay will be used for administration of the contest and any other related activities deemed appropriate in Palm Bay’s sole discretion. In addition, by entering, entrants agree to Palm Bay’s use of entrant’s personal information as described in its privacy policy at http://www.palmbayimports.com/terms_conditions.asp. Please refer to Palm Bay’s privacy policy for important information regarding the collection, use and disclosure of personal information by Palm Bay. Palm Bay is not responsible for disclosures made by any third party. Palm Bay uses reasonable commercial efforts to comply with Federal CAN-SPAM rules and regulations and entrants may subsequently opt out of receiving further emails by following the opt-out instructions contained in Palm Bay’s privacy policy. All entries become the property of Palm Bay and will not be acknowledged or returned.

Consumer Disclosure
The total approximate retail value (“ARV”) of the prize is $10,000.00 and consists of a premier bicycle touring package (ARV per person is $5,000) for two people with Backroads to France, valid for a scheduled 6-day group tour operated from January-December 2007. Trip includes roundtrip coach airfare to and from the major commercial airport near the winner's primary residence, 5 nights double occupancy standard hotel accommodations, most meals, and bike rental. Transportation to and from the gateway city and the trip start and finish is not included in the trip prize. Palm Bay, in its sole discretion, has the right to substitute ground transportation for air travel if deemed appropriate. Actual value of trip depends on dates of travel and winner’s residency and departure city. Any unclaimed and/unused portion of prize package will be forfeited and will not be substituted. Only electronic airline tickets will be issued, if available. Winner’s travel guest also must be 21.Winner and travel companion will be required to travel together to and from the same point of origin. Winner and travel companion may be responsible for obtaining the proper travel documentation (e.g., passports, visas) if needed prior to travel. Winner and travel companion hereby release Palm Bay and Backroads from any duty to provide, check or verify any and all necessary passports, visas and tourist cards, birth certificates, vaccination certificates and any other travel or entry requirements (“Personal Documents”). Palm Bay and Backroads shall not have any responsibility for the replacement of lost or stolen Personal Documents or tickets, coupons, vouchers, receipts or other documents pertaining to the prize (“Travel Documents”) once the Travel Documents have been provided to winner and travel companion. Certain reasonable travel restrictions such as holiday “black-out” dates or periods may apply. Travel must be taken on dates designated by Palm Bay and/or Backroads . Prize subject to any and all terms and conditions relevant to a Backroads bicycling touring package. This prize is non-transferable and not redeemable for cash. Trip prize is based on space availability and may only be reserved with Backroads 120 days prior to departure. Dates of travel are subject to change at Palm Bay’s and Backroads sole discretion. Potential winner’s travel companion must sign and return a Liability/Publicity release in order to claim prize, unless prohibited by law. All other expenses not specifically listed herein are the winner's responsibility including, but not limited to, sales taxes, gratuities, ground transportation to/from winner's residence to/from airport, and all incidental expenses. Winner and travel companion are responsible for any damages to accommodations (e.g., hotel), vehicles (e.g., planes, limousines, buses, rental cars, etc.) or premises (e.g., restaurants, nightclubs, concert venues, etc.), or any persons occupying such accommodations, vehicles or premises that arise from the acts or failure to act of the winner and/or travel companion. All federal, state and local taxes are winners' sole responsibilities. Winner will be sent an IRS Federal 1099-MISC Tax form for the retail value of any prize at or above $600. No transfer or substitution of prize permitted, except that Palm Bay reserves the right to substitute a prize of equal or greater value in the event that the offered prize is unavailable.

Palm Bay, Circus, MandraRossa, Redcliffe, Remy Pannier, Backroads, and Rodale Inc. and their parent, subsidiary or affiliate companies, shall not have any obligation or responsibility with regard to (i) entries that contain inaccurate information or do not comply with these rules, (ii) entries, prize claims or notifications that are lost, late, incomplete, illegible, unintelligible, damaged or otherwise not received by the intended recipient, in whole or in part, due to computer, human or technical error of any kind, (iii) telephone, electronic, hardware, software, network, Internet or computer malfunctions, failures or difficulties, (iv) any damages or losses of any kind caused by any prize or resulting from acceptance, possession or use of any prize, (v) any lost, mutilated or misaddressed mail. Palm Bay, in its sole discretion, reserves the right to disqualify any person tampering with the entry process or the operation of this promotion or otherwise violating these rules. If Palm Bay determines, in its sole discretion, that technical difficulties or unforeseen events outside their control compromise the integrity or viability of the promotion, Palm Bay reserves the right to void the entries at issue, modify the promotion and/or terminate the relevant portion of the promotion. Winners assume all liability for any injuries or damages caused or claimed to be caused by their participation in the Sweepstakes and/or the acceptance and/or use of any prize, and releases Palm Bay, Circus, MandraRossa, Redcliffe, Remy Pannier, Backroads, and Rodale Inc., their respective officers, directors, and employees, from any such liability. Palm Bay, Circus, MandraRossa, Redcliffe, Remy Pannier, Backroads, and Rodale Inc. and their respective officers, directors, employees, subsidiaries and affiliates assume no responsibility for any injury or damage to participants or to any other person’s computer relating to or resulting from entering or downloading materials or software in connection with this Sweepstakes.
